Board of Trustees

Guardians of Vision, Integrity, and Institutional Continuity

The Board of Trustees (BoT) is the highest oversight and fiduciary body of the Nuba Mountains International Association (NMIA).

It serves as the custodian of the organization’s mission, values, assets, and long-term sustainability, ensuring that NMIA remains faithful to its founding principles and operates in full compliance with legal, ethical, and governance standards.

The Board of Trustees does not engage in daily management but provides strategic direction, oversight, and accountability to the National Executive Leadership.

Roles and Responsibilities

The Board of Trustees shall:

Authority and Accountability

The Board of Trustees:

  • Derives its authority from the General Assembly
  • Operates under the Constitution & By-Laws of NMIA
  • Exercises fiduciary responsibility on behalf of the members and beneficiaries
  • Holds the National Executive Leadership accountable for performance, integrity, and compliance
Composition

The Board of Trustees shall consist of:

  • Five (5) to Seven (7) members
  • Individuals of high integrity, experience, and credibility
  • Representation reflecting diversity of Nuba communities, gender, and professional expertise
Eligibility Criteria

The Board of Trustees shall be:

  • Senior, respected members of the Nuba community or trusted allies
  • Individuals with experience in governance, law, finance, academia, diplomacy, humanitarian work, or community leadership
  • Free from conflicts of interest that may compromise their fiduciary duties
Appointment and Term of Office
  • Trustees are elected or endorsed by the General Assembly
  • Each Trustee serves a term of four (4) years, renewable once
  • Staggered terms may be applied to ensure continuity
  • Vacancies shall be filled according to procedures outlined in the By-Laws
Officers of the Board

The Board of Trustees may elect from among its members:

  • Chairperson of the Board
  • Vice Chairperson
  • Secretary of the Board


These officers coordinate Board activities and liaise with the National Executive Leadership.

Meetings
  • The Board shall meet at least twice per year
  • Special meetings may be convened as needed
  • Decisions shall be made by majority vote, with quorum defined in the By-Laws
  • Minutes of all meetings shall be formally recorded and archived
Relationship with Other Organs

The Board of Trustees works collaboratively with:

  • General Assembly – source of authority and legitimacy
  • National Executive Leadership – operational leadership and implementation
  • Advisory Council – expert and moral guidance
  • Standing Committees – programmatic execution (through Executive oversight)

The Board does not replace the Executive Leadership but strengthens it through oversight and guidance.

Ethical Standards and Independence

Members of the Board of Trustees shall:

  • Act in good faith and in the best interest of NMIA
  • Avoid conflicts of interest and misuse of authority
  • Maintain confidentiality where required
  • Serve without personal gain or political bias
       a) Strategic Oversight
  • Safeguard the vision, mission, and long-term direction of NMIA
  • Approve strategic plans and major institutional reforms
  • Support leadership succession planning and institutional stability

    b) Fiduciary and Financial Oversight
  • Oversee financial integrity, transparency, and accountability
  • Approve annual budgets, audited financial statements, and major expenditures
  • Ensure compliance with nonprofit laws and donor requirements

    c) Legal and Ethical Governance
  • Ensure NMIA operates in accordance with U.S. laws and host-country regulations.
  • Uphold ethical standards, conflict-of-interest policies, and codes of conduct
  • Protect the legal status, reputation, and assets of the Association
            d) Executive Oversight
  • Appoint, confirm, or remove senior executive leadership when required
  • Conduct periodic performance reviews of the National Executive Leadership
  • Provide guidance and support without interfering in day-to-day operations


       e) Conflict Resolution and Arbitration

     

     

  • Serve as the final internal authority for resolving major disputes
  • Mediate governance conflicts when they cannot be resolved internally
  • Ensure fairness, unity, and institutional harmony
